TML Workspace Subscription Agreement (Clickwrap)
Version: Short clickwrap — October 8, 2026 (card-required 14-day free trial + auto-renewal; 7- and 3-day trial reminders; 30-day annual notice; phone-app location check; GPS location check optional, off by default; locked pricing + annual; no founding; Sarasota venue; email-only)
Governing law: State of Florida

This Agreement is between The Maintenance Line LLC, a Florida limited liability company, 5804 Countrywood Dr, Sarasota, FL 34232 ("TML," "we," "us") and the business that accepts it ("Customer," "you"). The person accepting confirms they have authority to bind the Customer. Workspace is for businesses only, not personal or household use.
1. What Workspace is
TML Workspace is self-serve software for concierges, home watch companies, and small property managers (web dashboard and Workspace mode in the TML phone app). You add properties, receive problem reports (including by QR code), run your own tickets with your own vendors, track costs and documents, and invite your team.
Workspace is a software subscription only. It does not include TML's full-service maintenance coordination (that is a separate product under a separate Client Services Agreement). It is not an emergency service: report forms tell people to call 911 or the utility for gas, fire, smoke, or danger to people. TML does not monitor reports or respond to emergencies.
2. Plans, fees, free trial, and automatic renewal
| Tier | Price / month | Properties | Users |
|---|---|---|---|
| Starter | $49 | up to 10 | up to 3 |
| Pro | $99 | up to 40 | up to 10 |
| Team | $149 | up to 100 | unlimited |
On Starter and Pro, the software stops you from adding more when you hit a limit until you upgrade or remove some.
Annual billing: pay for 10 months, get 12 (2 months free): Starter $490, Pro $990, Team $1,490 per year, paid in advance.
Team extra properties. On Team, each property over 100 costs $1.50 per month on monthly billing or $18 per year on annual billing. We count your properties over 100 on each billing date, including the first charge when your trial ends, and bill that number in advance for the period that starts. Adding or removing properties during a period doesn't change that period's charge; the new count is billed on your next billing date (for annual plans, at renewal).
Free trial; card required. A business that signs up online for the first time gets a 14-day free trial. A payment card is required to start it. You are not charged during the trial. Your bank may show a temporary $0 or small verification hold that drops off.
Automatic charge when the trial ends. Unless you cancel before the trial ends, your card is charged automatically when the trial ends (the date and time shown at checkout and in your confirmation email), for the plan and billing period (monthly or yearly) your account is on at that time, plus any Team extra properties. After that you are billed in advance each period.
Reminders. We email your Admins 7 days before the trial ends and again 3 days before, with the charge date, amount, and how to cancel. For yearly plans, we email your Admins 30 days before each renewal, with the renewal date, amount, and how to cancel.
Payments. Payments are processed by our payment processor. We do not store full card numbers. We email a receipt for every charge. Charges appear on your card statement as "TML WORKSPACE" (the first charge after your trial may also be marked as the end of the trial). Prices do not include sales tax. We do not currently charge sales tax; if that changes, we will email your Admins at least 30 days before.
Failed payments. If a charge fails, we email your Admins, and Workspace keeps working while our payment processor retries over about 2 weeks. If the last retry fails, the subscription ends and the account becomes read-only (see Section 8). An Admin can restart it on the Billing page; a restart is charged right away, with no new free trial.
Automatic renewal. Your subscription renews automatically each billing period (monthly or yearly) at the then-current price until you cancel.
Plan changes. Admins can change plan or billing period on the Billing page. You can't move to a plan below your current usage. During the trial, nothing is charged when you change plans; the plan and billing period you are on when the trial ends is the one charged. After the trial, the price difference is prorated, and the amount and timing are shown on screen before you confirm. We email your Admins a confirmation of every plan change, with the new price and the next charge date.
Price changes. We may change prices by emailing your Admins at least 30 days before the new price applies to you. You may cancel before then.
How to cancel. An Admin can cancel anytime online, using Cancel subscription on the Billing page in Workspace (it opens our payment processor's secure billing page to confirm), or by emailing [email protected] from an Admin address. A call is never required. We confirm every cancellation by email.
- During the trial: the subscription ends when the trial ends, and your card is never charged. You can keep using Workspace until then; after that, the account is read-only (Section 8).
- After the trial: canceling stops all future charges. The subscription ends at the end of the current paid period, you keep full access until then, and then the account is read-only (Section 8).
Refunds. Fees already paid are not refunded, including for partial periods, except where the law requires and in this one case: if you ask within 7 days of the first charge after your free trial ends (email [email protected] from an Admin address), we will refund that first charge in full and cancel the subscription, and the account becomes read-only (Section 8). This applies only to the first charge after the trial, not to later charges or renewals.
One trial per business. Each business, including its owners and affiliated businesses, gets one free trial, and each email address can belong to only one Workspace company. A business that has already had a trial may subscribe again, but without a new trial: checkout will show that the card is charged that day. If we find a second trial for the same business, we may end it early, with no charge, after emailing its Admins; they can then subscribe without a trial. Trial abuse is a reason we may end an account (Section 10).
3. Your brand; not a franchise
You run your own business under your own name and brand, with your own clients, vendors, prices, and methods. Screens and system emails show your logo and name with a small "Powered by TML" software credit only. That credit is not an endorsement and gives you no license to use TML names or logos in your marketing, website, vehicles, uniforms, or signs. You may not call yourself TML-certified, TML-authorized, or part of a TML network.
There are no territories. Anyone may subscribe anywhere. TML sets no operating standards, training, marketing plan, or operations manual for your business. You pay only flat software fees; TML takes no share of your revenue and no vendor rebates. TML does not promise leads, customers, or income. This is a software subscription, not a franchise, business opportunity, partnership, joint venture, or agency.
4. Optional setup; optional full service
Optional setup packages (website build, onboarding help, phone help, and similar) may be offered only together with a Workspace subscription. They are never required to use Workspace and are never framed as TML putting you in business.
If you ask in writing, TML may agree to move some or all of your properties to TML's full-service coordination under a separate Client Services Agreement. TML will not move properties or pitch that move unless you initiate it. Your private vendor list stays private unless you choose to share vendors and each passes TML's vendor checks.
5. Email
Email: ticket notices, status updates, and other messages your users, clients, and vendors receive go by email through a shared TML sender. Their display name is your business name; Reply-To is the inbox you designate. Account, signup, and billing emails from TML to your Admins (sign-in codes, trial reminders, receipts, plan-change confirmations, and notices) come from the sender name "TML Workspace" at [email protected], and replies go to [email protected]. Sending with your own From address (for example [email protected]) is an optional add-on for an additional fee, when offered. TML never stores your mailbox or domain-registrar passwords. Workspace does not include a TML phone number, outbound dialer, or texting for your tickets; TML may email you, and may text only when it chooses to contact you that way.
6. Vendors, licensing, and authority
On Workspace, TML does not dispatch, schedule, vet, recommend, contact, supervise, or pay any vendor, and does not perform or coordinate repairs. You choose and pay your own vendors (or have your clients do so). Vendor-tracking features (licenses, insurance, reminders) are record-keeping tools only; TML does not verify vendors or give legal advice.
You are responsible for any licenses your business needs (including Fla. Stat. Ch. 475 and Ch. 489 where they apply). You must have written authority from each property owner for everything you do in Workspace for their property. TML does not check that authority.
7. Optional GPS location check; Visit reports
Optional GPS location check. Workspace has a setting, "GPS location check," that only your Admins can change. It covers QR report and check-in pages and check-ins and visits in the TML phone app (not the app's repair-request form). It is off unless your Admin turns it on. When it is off, Workspace does not ask for or store location.
When it is on, Workspace reads the device's location (latitude, longitude, accuracy, distance from the property, and time) only when someone sends a QR report, checks in, starts a visit, or taps Finish visit, on the web or in the TML phone app, to confirm visits and prevent false reports. QR scans with location off or from more than 5 miles away are refused, except reports marked as emergencies or ASAP, which always go through and are flagged. In the TML phone app, being more than 5 miles away never blocks a visit; it is marked "not verified." A visit is marked "GPS verified" when it is within the radius set for that property (default 200 meters) with accuracy under 100 meters. People can deny the phone's location prompt. Your signed-in staff, including everyone using the TML phone app, may continue without location by giving a reason; that visit is marked "not verified," and your Admins can see the reason in the check-in log. There is no continuous or background tracking. You and your users see the verified status, distance, and times, including on visit reports and photos, but not raw coordinates. TML keeps raw coordinates internally only to run and secure the check and deletes them after 60 days, including coordinates collected before you turn the setting off.
Your responsibilities. You decide whether to use the location check, and TML processes this data for you only as your software provider. Before turning it on, you will tell your employees and contractors about it and get any consent the law requires. You will not use it to track anyone outside a scan or visit. "GPS verified" is a device-reported indicator, not a guarantee (phones can be wrong or spoofed); do not promise your clients more than it shows. Details are in the Workspace Privacy Policy.
Visit reports / checklists. If you use visit or checklist features, outputs are labeled a Visit report. They are a visual check during a routine visit and are not a home inspection. Do not describe your home-watch work in Workspace as an inspection, inspector, or certified inspection. Tracking due dates for third-party fire, health, or similar inspections may still use the word "inspection" for those third-party inspections.
8. Your data
You own Customer Data (everything you or your users put into Workspace). TML hosts and processes it only to provide, support, secure, and bill Workspace, and as the law requires. TML does not sell Customer Data or use it for advertising, and will never use it to market to your clients, owners, residents, tenants, or vendors for TML's own business. Results of the optional GPS location check (status, distance, and times) are Customer Data; raw coordinates are handled only as described in Section 7.
When a subscription ends (canceled, refunded under Section 2, or unpaid after the last retry), the account becomes read-only. Nothing is deleted right away. You and your users can still sign in, view, and export, and an Admin can restart the subscription on the Billing page. QR report and check-in forms keep working for 7 days, then pause until you restart. On Admin request, TML will also export Customer Data in a common format. TML keeps a read-only account for 12 months after the subscription ends. After that, TML may close it and delete its data, but only after emailing your Admins at least 30 days before; you can export or restart until it closes. After an account closes, TML deletes Customer Data within a reasonable period, except backups on their normal cycle and records the law requires (such as billing). See the Workspace Privacy Policy.
9. Acceptable use; availability
You and your users may not use Workspace unlawfully; upload malware; break security or access another customer's data; scrape, copy, resell, or rebuild the software; spam; or upload information you have no right to share. Photograph only the problem or empty room—not people—on report and check-in forms.
Workspace is provided "as is" and "as available." There is no uptime commitment or service credit. TML owns the software and grants you a non-exclusive right to use it for your business during your subscription.
10. Liability; indemnity; term
To the extent the law allows, TML disclaims all implied warranties. Neither party is liable for lost profits, lost business, lost data, or indirect or consequential damages. TML's total liability under this Agreement will not exceed the fees you paid TML in the 12 months before the claim. These limits do not apply to fraud or willful misconduct, your payment obligations, or your indemnity below.
You will defend and indemnify TML from third-party claims arising from your business, your vendors, your clients and property users, your Customer Data, lack of owner authority, or your breach of this Agreement or the law.
This Agreement starts when you accept it and continues while you have a trial or paid subscription and while your account is read-only under Section 8. TML may end an account on 30 days' notice (with a refund of unused prepaid fees) or sooner for nonpayment after notice, serious breach, security risk, unlawful use, or abuse of the free trial (including repeated trials for the same business).
11. Law; entire agreement; changes
Florida law governs. Disputes belong only in the state courts in Sarasota County, Florida. This Agreement, any order form, and the Workspace Website Terms and Privacy Policy are the entire agreement for Workspace. A Client Services Agreement for properties moved under Section 4 is separate. We may update this Agreement on at least 30 days' notice to your Admins; if you disagree, cancel before it applies. Notices: we email your Admins from the address in Section 5; you email [email protected] (or the address shown at signup).
12. Acceptance
By checking the box, you agree to this Agreement, the Website Terms, and the Privacy Policy. Signing up online also requires checking a separate box agreeing to the automatic charge in Section 2, and confirming it at checkout with our payment processor. Your account is created when checkout is complete. TML records the agreement version, the date and time, and the exact text you agreed to, and keeps that record for at least 3 years.
